Med-Meets Platform Terms and Conditionsm
Clause 1: Preamble
This platform is owned by Al-Tajammul Smart Information Technology Holding Company, registered under Commercial Registration Number (1010906495) with the Ministry of Commerce on 06/01/1445H, hereinafter referred to as "the Company." The terms and conditions agreement outlines how access to and use of the platform and its services will be governed. These terms and conditions, as detailed below, represent a binding legal contract between you (whether an individual or entity) and the company owning and developing the "Med-Meets" platform. By using the platform or benefiting from the services it provides, including, but not limited to: accessing the website or platform, clicking on the "Accept" button, or any similar action such as creating an account, you agree to comply with these terms and conditions. Therefore, you must read these terms and conditions carefully before entering the platform or obtaining services. If you disagree with any of the terms, please cease using the platform or the website immediately. Continuing to use it implies your explicit consent to these terms and conditions.
Clause 2: Definitions
The following words and phrases, wherever they appear in this agreement, shall have the meanings set forth in this section unless the context requires otherwise:
- The Platform: Refers to the "Med-Meets" application or website owned by Al-Tajammul Smart Information Technology Holding Company, providing a link between service, equipment, and medical supplies providers and healthcare institutions, including all related activities and services, such as scheduling, appointment coordination, facilitating communication between relevant parties, and coordinating with logistics partners for delivery and receipt operations.
- Personal Data: Refers to any information about a natural or legal person that is collected, processed, or used via the platform to provide services, including, but not limited to: name, ID number, contact details.
- Business Days: Refers to actual working days from Sunday to Thursday, excluding public holidays in the Kingdom of Saudi Arabia.
- Service Provider: Refers to the company or entity responsible for providing services via the platform, managing and supporting the Med-Meets platform and services offered through it. This also includes third-party collaborators working with the company to provide additional services or support.
- Beneficiary or User: Refers to a natural or legal person who accesses, registers, or uses the services offered by the service provider on the platform.
- Use: Refers to accessing the platform or benefiting from any service or feature provided by the platform.
- Logistics Transportation Companies: Refers to strategic partners approved by the platform for shipping products, equipment, and medical supplies from suppliers and delivering them to registered beneficiaries through the platform.
- Disputes: Refers to any disagreements, claims, settlements, or other disputes between clients and the "Med-Meets" platform or other third parties arising from the use of the platform.
- Service Fees: Refers to the amount the beneficiary is obligated to pay to benefit from the services offered by the platform, whether a one-time fee, recurring subscription packages, or as agreed upon between the platform and the beneficiary.
- Content: Includes all texts, images, graphics, videos, audio files, and other information published or shared by the beneficiary on the platform or interacted with.
- Intellectual Property: Refers to all rights related to trademarks, trade names, commercial goodwill, trade secrets, confidential information, copyrights, patents, and any other form of intellectual property rights, including those related to the platform or the company and all associated software and applications.
- Force Majeure: Refers to exceptional, unforeseen events beyond the control of the parties that make performance of the contract burdensome, potentially resulting in significant loss for one or both parties.
- Force Majeure Events: Includes acts or events beyond the platform’s reasonable control, including service failure, war, riots, deliberate damage, non-compliance with any regulation, natural disasters such as fires, floods, storms, earthquakes, or system or internet service interruptions.
Clause 3: Acceptance of Terms and Conditions Agreement
By entering and using this platform, you agree to comply with the terms and conditions in effect. If you do not agree with these terms and policies, you must refrain from using the platform. You acknowledge that continuing to use the platform after changes to these terms will constitute your acceptance of such changes.
Clause 4: Modifications to Terms and Conditions
- The "Med-Meets" platform reserves the right to modify or update the terms and conditions at any time and is responsible for notifying the beneficiary of any modifications or changes as they occur.
- Any modification or change to these terms and conditions will take effect upon approval by the company, and continued use of the platform after approval of any modification or change constitutes the beneficiary's full acceptance and acknowledgment of such modifications.
Clause 5: Registration and Use of the "Med Meets" Platform
- When registering on the "Med Meets" platform, the user is required to provide accurate, complete, and correct information concerning their identity. This includes, but is not limited to, full name, email address, mobile number, and company name.
- The user is obligated to regularly update the information provided on the platform to ensure it remains accurate and correct. In case it is found that the information or data provided is incorrect or incomplete, the platform reserves the right to take necessary actions, which may include terminating the account.
- The platform reserves the right to verify the user’s identity to ensure the accuracy of the data or information provided. The user may be required to submit official documents to comply with regulatory requirements, such as, but not limited to, national ID, passport, commercial entity records, or any other relevant documentation.
- The platform may request additional data or information from the user if necessary to ensure compliance with applicable laws and regulations or to verify the validity of the data or information provided.
- The user is responsible for maintaining the confidentiality of their account password and must take all necessary precautions to prevent unauthorized access to their account.
- The user bears full responsibility for all activities that occur under their account or password.
- The user agrees to use the "Med Meets" platform in accordance with the laws and regulations applicable in the Kingdom of Saudi Arabia.
- The use of the platform for any unlawful, unauthorized, or illegal purposes, or without explicit permission from the account holder, is prohibited. This includes, but is not limited to, activities that violate intellectual property rights, fraud, forgery, or any unlawful activity. The user bears sole responsibility for such use.
- The user is prohibited from using another individual’s account.
- The company reserves the right to take immediate legal action, including:
- Suspending or blocking access to accounts suspected of unlawful or unauthorized use, including submitting forged or incorrect data, or if unauthorized access to other accounts is discovered.
- Terminating accounts that violate these terms and conditions or applicable laws and regulations. If the user receives an official invitation from the platform to recover their account, they are only permitted to re-register at that time.
- Taking legal action in cases of violations or harm, including reporting to relevant authorities to protect the platform and the interests of the owning company and ensure legal compliance.
Clause 6: Obligations and Rights of the User
- The user must register their full and correct name, as it appears on official documents, current address, mobile number, valid email address, and any other information required by the registration form. The user is solely responsible for any consequences resulting from providing incorrect or incomplete information, including, but not limited to, providing fraudulent or deceptive information.
- The user must take all necessary precautions to ensure that their personal data and account information on the platform are not disclosed, used, or shared in unauthorized ways. They must also update their data when changes occur.
- The user is required to comply with all applicable laws and regulations in the Kingdom of Saudi Arabia, including, but not limited to, data protection laws, intellectual property rights, and related regulations while using the platform.
- The user must ensure that they are authorized to request services for themselves or others and must inform them of these terms and conditions before using the platform.
- The user must immediately notify the platform if they discover any unauthorized use of their account or any security breach.
- The user is obligated to pay the charges related to shipping and delivery services offered by the platform when requesting such services. These charges are determined according to the rates set by the platform or its logistics partners.
- The user bears responsibility for any taxes and fees associated with services, including but not limited to, value-added taxes, shipping fees, or any other related charges.
- The user acknowledges and agrees that their sole and exclusive remedy for any damage or loss resulting from their use of the platform is to cease using the platform or accessing it.
- The user is prohibited from publishing or sharing any content or using the platform in ways that conflict with laws or violate intellectual property rights, copyright, trademarks, or encourage hatred, discrimination, violence, or contain offensive or inappropriate materials.
- The user must not infringe upon others' intellectual property rights when publishing content or using the platform, including respecting copyrights, trademarks, and patents.
- The user agrees not to engage in the following practices:
- Any actions that may affect the operation or security of the platform’s services and content or cause harm, disable, overload, or impair its functionality, or interfere with the use of any third-party services.
- Modify, disassemble, reverse engineer, or reduce any part of the service to a human-perceivable form.
- Attempt unauthorized access to any accounts, computer systems, or networks associated with the platform’s services.
- Send, upload, or transmit any files or materials that contain viruses, fake links, destructive codes, or are designed for interception, hacking, or damage to the platform’s functionality.
- Use any part of the services to build a product or service that competes with "Med-Meets".
- Copy, store, replicate, distribute, or transmit large parts of the content provided by the platform’s services.
- Publish or upload defamatory, offensive, illegal, harmful, threatening, abusive, deceptive, racist, or morally inappropriate materials or content that violates Islamic law and public order in the Kingdom.
- Publish, copy, or replicate any design, layout, or appearance of the platform or services without authorization, or attach materials protected by intellectual property laws unless the user holds the rights or is permitted by law.
- Engage in any act that harasses, offends, threatens, or inconveniences platform users or visitors.
- Engage in any unlawful actions that may lead to liability for "Med-Meets".
Clause 7: Obligations and Rights of "Med Meets" Platform
- Provide services and features to help the user request what they need, manage requests, or schedule meetings with other parties.
- Assist users by communicating through the platform or the email address provided on the platform, or by any other mutually agreed-upon method.
- Treat all users without discrimination based on, but not limited to, race, color, tribe, religion, sect, thought, age, or any other category.
- Collect payments due for services from users in accordance with the subscription and payment policies.
- Notify users of any updates related to platform use via email, platform notifications, or text messages.
- Implement and comply with ethical and legal standards, refraining from harming any user or withholding services to benefit any other client.
- Conduct regular maintenance and updates to the platform and develop improvements as deemed appropriate, without being obligated to add specific software for individual users.
- The platform reserves the right to modify or update the terms and conditions at any time and will immediately notify users of such changes.
- The platform has the right to use any personal data registered by users or generated from their use of the platform, without associating it with the user’s identity, for purposes of platform operation, development, or any other purpose outlined in this agreement.
- The platform reserves the right to modify or terminate any service or part of the service for any reason, notifying the user accordingly.
Clause 8: Payment and Cancellation Policy
- The user is responsible for the service charges provided by the "Med-Meets" platform, which are determined based on the pricing listed on the platform.
- Some services or premium features may require separate payment, and the user will be notified in advance of any additional charges.
- Subscription fees are paid through the platform’s electronic payment mechanism, including, but not limited to, credit cards, bank transfers, and payment gateways.
- The platform reserves the right to reject payment orders if suspected to be fraudulent, unlawful, or non-compliant with applicable laws.
- The platform must notify the user of the reasons for rejecting payment and provide instructions for correcting the transaction, with payment only being accepted after resolving the issue.
- The user is fully responsible for any losses incurred by the platform due to unauthorized payments or fraudulent, unlawful actions.
- The user has the right to cancel the subscription or the services provided through the platform, according to the procedures defined by the platform.
- No refunds will be made after the payment has been processed and the service has been rendered, except in specific cases such as service failure or platform malfunction.
Clause 9: Shipping and Delivery Service
- "Med Meets" offers shipping and delivery services through transportation companies approved by the platform, which are third-party entities independent of the platform.
- The user is responsible for providing accurate shipping details; the platform is not responsible for delivery failures caused by incorrect or incomplete shipping information.
- Shipping fees and delivery times depend on the weight, size of the shipment, and the distance between the customer's location and the delivery address.
- If the user refuses to accept the shipment due to customs fees or taxes, the user is liable for all associated costs.
Clause 10: Confidentiality and Protection of Intellectual Property Rights
- By using the platform, the user agrees to allow the platform to collect, use, disclose, and store their personal data in accordance with the applicable laws and regulations. If the user does not agree, they should cease using the platform.
- All personal data collected via the platform is treated as confidential and protected in compliance with applicable laws and regulations.
- All content on "Med Meets" including designs, graphics, data, etc., are owned by the company, and all rights are protected under intellectual property laws.
Clause 11: Limitation and Disclaimer of Liability
The "Med-Meets" platform and its parent company do not guarantee and shall not be liable for any of the following:
- Any dispute or conflict arising between the beneficiary and any third party, for any reason, and the platform shall not bear any legal consequences of such a dispute.
- Any liability regarding the beneficiary's selection of the appropriate service according to their needs. The beneficiary is solely responsible for determining and selecting the service that suits their requirements.
- Any direct or indirect, incidental damages, losses, or liabilities that may arise due to failure in the sending or receiving process between the beneficiaries and transportation companies.
- Any damages or losses to shipments, whether during the transport, storage, or receipt process, or any legal or financial consequences arising from them.
- Any responsibility regarding the condition, quality, existence, or safety of shipments entered or retrieved through the platform services or transportation companies, as the platform acts merely as an intermediary to facilitate communication between the beneficiaries.
- Any delays or damages caused by logistics companies or issues related to the transport and receipt process.
- Any violation of applicable laws and regulations in the Kingdom of Saudi Arabia.
- Any responsibility for incompatibility between the platform/services and the operating systems, devices, or browsers used by the beneficiary. The beneficiary must verify system requirements before using the platform.
- Any liability if the beneficiary shares their personal data or account information with third parties outside of the platform's service providers. The beneficiary is solely responsible for any consequences or damages arising from this.
- Any losses or damages resulting from the use of the beneficiary’s account by another person or due to the loss or leakage of the account's password.
- If the beneficiary enters incorrect or inaccurate information when registering or using the services provided by the platform.
- Any damages, losses, or liabilities, direct or indirect, incidental, arising from the beneficiary’s non-compliance with any terms and conditions or platform policies.
- The platform and its services, information, content, materials, and available functions do not replace information provided by official authorities. Using the platform remains at the beneficiary's risk, and the platform shall not be responsible for any losses, damages, reliance on any statement, information, opinion, or advertisement on the platform.
- Any damages or losses resulting from using or accessing the platform. The only remedy available to the beneficiary in case of any dispute or legal claim related to using the platform, violations, or issues regarding fees, payments, or subscriptions is to refrain from using the platform.
- Any liability for misuse or unauthorized use of the platform by the beneficiary, or for violations of the laws and regulations of the Kingdom of Saudi Arabia. The platform does not bear any responsibility for legal actions or sanctions.
- Any responsibility for the wrongful disclosure of the beneficiary’s stored information due to errors by any party or unauthorized or illegal activities by third parties. The platform does not provide any guarantee or responsibility for damages arising from this.
- Using the electronic payment gateway is a shared responsibility between the beneficiary and the payment gateway provider. It is recommended to confirm all transactions and verify payment details before completing any process.
- The company strives to ensure the application is free from viruses, spyware, harmful cookies, or any other malicious content through reasonable and appropriate efforts, but neither the platform nor the company guarantees protection against any damages caused by viruses, security breaches, or spyware that may affect the beneficiary's device. The beneficiary is solely responsible for protecting their device.
- In case of any breach in the beneficiary's account on the platform, the platform or its parent company will only be responsible for damages directly caused by their failure to protect the data according to the privacy policy. The platform or company bears no responsibility for damages resulting from the beneficiary’s misuse of their account.
- The platform's responsibility is limited to its services and platform only and does not extend to any external websites accessed through the platform or any links available on the platform leading to other websites or services. The platform is not responsible for the data collection or protection practices of those external entities, and data will be subject to each site’s individual privacy policies.
- Neither the platform nor its parent company guarantees that the services offered are free from interruptions or errors, including delays or temporary unavailability due to maintenance or technical issues.
Clause 12: Governing Law and Jurisdiction
These terms and conditions, in their interpretation and execution, are subject to the laws and regulations in force in the Kingdom of Saudi Arabia. In the event of any dispute between the parties concerning the platform, an attempt will be made to resolve it amicably through negotiations within thirty (30) days. If no resolution is reached, the matter may be referred to the competent court in Riyadh, Kingdom of Saudi Arabia. In case of any discrepancies between this version and the English version or any translated versions of the platform’s terms, the Arabic version shall be the authoritative and decisive one.
